Brocacef Groep NV (“Brocacef”) announces the intended acquisition of Mediq Pharmacies Nederland B.V. with the objective to become the leading integrated healthcare provider in The Netherlands. Brocacef aims, with the acquisition, to continue providing affordable care for all relevant customers. The transaction includes, besides the pharmacies and wholesale distribution of Mediq Pharmacies, also the divisions active in the delivery of medicines to hospitals and logistics services. 

The new combination is a leading player in the healthcare market with revenues of EUR 2.1 billion, a network of pharmacies with nationwide coverage, 5,300 employees and a complete offering of pharmaceutical products and services. The entrepreneurial Brocacef and innovative Mediq are highly complementary both geographically and in terms of their offering. Mediq Pharmacies has for instance broad experience in the successful operation of the pharmacist formula like the successful integrated pharmaceutical care program. The entrepreneurial Brocacef Groep achieved strong growth in previous years by meeting customer needs translating into a high customer appreciation.   

It is the intention that in due course all pharmacies will be branded BENU and that the services for business customers will continue under the name Brocacef. In the coming period a joint integration plan will be developed.

The acquisition is a logical step with which Brocacef responds to market developments, with the aim to keep good care affordable and accessible. We are convinced that the customer will also benefit from this acquisition. This acquisition will deliver a health bonus.” 

Arthur de Bok, CEO Mediq: "At Mediq the two divisions Mediq Pharmacies Nederland and Mediq Direct & Institutional have different dynamics, activities and strategy. Mediq Direct & Institutioneel operates internationally, contrary to Mediq Pharmacies, and delivers medical devices and accompanying care in 14 countries. We have decided to focus within Mediq in further growing the position of Mediq Direct & Institutional and finding a new owner for Mediq Pharmacies. In the previous period Mediq has made a careful analysis taking into consideration the different interests and the future success of Pharmacies Netherlands. We are convinced that Mediq Pharmacies has found a good partner in Brocacef." 

The acquisition is subject to the approval of the competition authorities. The expectation is that the acquisition will be effected next year. The (central) works councils of both companies have been consulted. Also the labour unions have been informed about the intended acquisition. 

It has been agreed that financial details of the transaction will not be disclosed.
